These Terms of Service (“Terms”) govern your use of the services, software, and platform provided by AminoAnalytica Inc. (“AminoAnalytica,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms. If you do not agree, you may not use the services.

1. Use of Services

1.1 Eligibility. You must be at least 18 years old and capable of entering into a binding agreement to use our services.

1.2 Compliance. You may use AminoAnalytica’s services only in compliance with applicable laws, regulations, and these Terms.

1.3 Restrictions. You may not use the services for purposes prohibited by law, including but not limited to biological weapons development or activities that violate biosafety, bioethics, or export control regulations.

2. User Data and Ownership

2.1 User Data. “User Data” includes any data, files, sequences, protein structures, CSV files, or other content that you upload or submit to the platform. You retain ownership of all rights, title, and interest in your User Data.

2.2 License to AminoAnalytica. By submitting User Data, you grant AminoAnalytica a limited, non-exclusive, worldwide license to store, process, and transmit your User Data as necessary to provide the services.

2.3 Data Privacy by Plan:

• Free Plan: By using the free plan, you agree that AminoAnalytica may use User Data you generate (including outputs, usage activity, and behavior data) to improve, train, and enhance our services.

• Paid Plans: On paid plans, all generated data and behavioral usage data will remain private and will not be used for product improvement beyond what is necessary to deliver the service.

  
  

3. Generated Data and Intellectual Property

3.1 Generated Data. “Generated Data” refers to results, designs, analyses, or other content produced by the platform. Subject to these Terms, you own the Generated Data created through your authorized use of the services.

3.2 Platform Content. All software, algorithms, models, documentation, and other materials provided by AminoAnalytica (“Platform Content”) are owned exclusively by AminoAnalytica and are protected by intellectual property laws.

3.3 License to Users. AminoAnalytica grants you a limited, non-transferable, revocable license to use the Platform Content solely as necessary to access and use the services.

4. Prohibited Activities

You agree not to:

• Reverse-engineer, decompile, or attempt to extract source code or underlying models.

• Access or use the services to build a competing product or service.

• Scrape, harvest, or misuse platform data.

• Upload or distribute content that is harmful, unlawful, or infringes third-party rights.

• Use the platform for purposes that violate biosafety or ethical standards.

5. Termination

5.1 Termination by AminoAnalytica. We may suspend or terminate your access if you violate these Terms, misuse the platform, or engage in unlawful activity.

5.2 Termination by You. You may stop using the Services at any time; however, subscriptions are billed for the full term selected (e.g., annual plans) and are non-refundable, except where required by law. Your access will remain active until the end of the paid term.

6. Disclaimer of Warranties

The services are provided “as is” without warranties of any kind, whether express or implied. AminoAnalytica does not warrant that outputs will be accurate, reliable, or fit for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, AminoAnalytica shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, profits, or business opportunities. Our total liability for claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Dispute Resolution

Any disputes arising out of these Terms will be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in class actions.

9. Changes to Terms

We may update these Terms from time to time. Continued use of the services after changes become effective constitutes acceptance of the updated Terms.

10. Miscellaneous

• Governing Law: These Terms are governed by the laws of California, without regard to conflict of laws principles.

• Entire Agreement: These Terms constitute the entire agreement between you and AminoAnalytica regarding the services.

• Severability: If any provision is found invalid, the remaining provisions remain in full force and effect.
