Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services, software, platform, application programming interfaces, and command-line tools (collectively, the “Services”) provided by AminoAnalytica Inc. (“AminoAnalytica,” “we,” “us,” or “our”). By accessing or using our Services, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must immediately cease use of the Services.

IMPORTANT: AminoAnalytica provides computational infrastructure for protein design on a cost-recovery basis. We pass through compute costs to you without markup. Because we do not profit from your use of the Services, our liability is strictly limited as set forth herein.

1. Definitions

“Amina CLI” means the AminoAnalytica command-line interface tool that allows Users to interact with the platform programmatically, including in conjunction with third-party AI agents, coding assistants, or large language model-based tools.

“Generated Data” means results, protein designs, analyses, predictions, or other outputs produced by the platform in response to your inputs or requests.

“Platform Content” means all software, algorithms, models, documentation, user interfaces, and other materials provided by AminoAnalytica.

“Third-Party AI Agents” means any third-party artificial intelligence tools, large language models, coding assistants, or autonomous software agents—including but not limited to Anthropic’s Claude Code, Cursor, Windsurf, GitHub Copilot, and similar tools—that may interact with the Services through the Amina CLI or any other integration.

“User Data” means any data, files, sequences, protein structures, CSV files, configurations, scripts, or other content that you upload, submit, or make accessible to the platform.

2. Use of Services

2.1 Eligibility. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.2 Compliance. You may use the Services only in compliance with all applicable laws, regulations, institutional policies, and these Terms. You are solely responsible for ensuring that your use of the Services—including any designs, experiments, or workflows you conduct—complies with all relevant biosafety, bioethics, export control, and other regulatory requirements.

2.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including actions taken by automated tools, scripts, or Third-Party AI Agents operating with your credentials.

2.4 Restrictions. You may not use the Services for any purpose prohibited by law, including but not limited to: biological weapons development; activities that violate biosafety, bioethics, or dual-use research regulations; or any other unlawful purpose.

3. Amina CLI and Third-Party AI Agent Integration

3.1 Nature of CLI Access. The Amina CLI provides programmatic access to the AminoAnalytica platform. When used in conjunction with Third-Party AI Agents, these agents may autonomously execute commands, modify files, submit jobs, and interact with your data and the platform on your behalf.

3.2 User Responsibility for AI Agent Actions. You are solely and entirely responsible for any and all actions taken by Third-Party AI Agents operating within your environment, under your account, or using your credentials. This includes, without limitation: commands executed by AI agents through the Amina CLI; modifications, deletions, or corruption of your files, data, or configurations by AI agents; compute resources consumed or jobs submitted by AI agents; security vulnerabilities introduced or exploited by AI agent actions; and any unintended, erroneous, or harmful outputs or consequences resulting from AI agent behavior.

3.3 No Control Over Third-Party AI Agents. AminoAnalytica does not develop, control, monitor, or endorse any Third-Party AI Agents. These tools operate independently and may take actions that are unpredictable, erroneous, or harmful. AminoAnalytica has no ability to supervise, restrict, or guarantee the behavior of any Third-Party AI Agent interacting with the Services.

3.4 Assumption of Risk. BY USING THE AMINA CLI WITH THIRD-PARTY AI AGENTS, YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS associated with such use, including but not limited to: data loss or corruption; unauthorized access or security breaches; unintended compute charges; deletion or modification of files, configurations, or project data; introduction of errors into protein designs or analyses; and any downstream consequences of relying on AI-agent-generated outputs.

3.5 Indemnification for AI Agent Actions. You agree to indemnify, defend, and hold harmless AminoAnalytica from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to the actions of any Third-Party AI Agent operating under your account or within your environment.

4. User Data and Ownership

4.1 Ownership. You retain all rights, title, and interest in your User Data. Nothing in these Terms transfers ownership of your User Data to AminoAnalytica.

4.2 License to AminoAnalytica. By submitting User Data, you grant AminoAnalytica a limited, non-exclusive, worldwide license to store, process, and transmit your User Data solely as necessary to provide the Services.

4.3 Data Privacy by Plan. 

Free Plan: By using the free plan, you agree that AminoAnalytica may use data generated through your use of the platform (including outputs, usage activity, and behavioral data) to improve, train, and enhance our Services.

Paid Plans: On paid plans, your generated data and behavioral usage data will remain private and will not be used for product improvement beyond what is strictly necessary to deliver the Services.

4.4 Data Backup. AminoAnalytica does not guarantee the preservation, backup, or recoverability of User Data. You are solely responsible for maintaining independent backups of all data you upload to or generate through the Services. This obligation is especially critical when using the Amina CLI with Third-Party AI Agents, which may delete, overwrite, or corrupt your data without warning.

5. Generated Data and Intellectual Property

5.1 Ownership of Generated Data. Subject to these Terms, you own the Generated Data created through your authorized use of the Services. AminoAnalytica makes no claim of ownership over Generated Data.

5.2 No Warranty of Accuracy. Generated Data is provided on an “as-is” basis without any guarantee of accuracy, correctness, completeness, fitness for any purpose, or safety. You are solely responsible for independently validating, verifying, and testing any Generated Data before relying on it for any purpose, including but not limited to experimental design, clinical applications, regulatory submissions, or any use that could affect human, animal, or environmental safety.

5.3 Platform Content. All Platform Content is owned exclusively by AminoAnalytica and is protected by intellectual property laws. AminoAnalytica grants you a limited, non-transferable, revocable license to use Platform Content solely as necessary to access and use the Services during your subscription term.

6. Compute Charges and Payment

6.1 Cost-Recovery Model. AminoAnalytica charges Users for the compute resources consumed in the course of using the Services. These charges reflect the actual cost of compute infrastructure and are passed through to Users without markup. AminoAnalytica does not profit from compute charges.

6.2 User Responsibility for Charges. You are responsible for all compute charges incurred under your account, including charges resulting from actions taken by automated scripts, the Amina CLI, or Third-Party AI Agents. AminoAnalytica is not responsible for excessive, unintended, or erroneous compute consumption caused by AI agent behavior or misconfigured workflows.

6.3 Payment and Billing. All charges are billed in accordance with your selected plan. Subscriptions are billed for the full term selected (e.g., annual plans) and are non-refundable except where required by applicable law. Compute charges are non-refundable once the compute resources have been consumed.

7. Prohibited Activities

You agree not to: reverse-engineer, decompile, or attempt to extract source code, algorithms, or underlying models from the Services; access or use the Services to develop a competing product or service; scrape, harvest, or systematically extract data from the platform; upload or distribute content that is harmful, unlawful, or infringes third-party rights; use the platform for purposes that violate biosafety, bioethics, or dual-use research regulations; attempt to circumvent usage limits, rate limits, or access controls; share your account credentials or allow unauthorized third parties to access your account; or use the Services in any manner that could damage, disable, or impair the platform.

8. Disclaimer of Warranties

THE SERVICES, INCLUDING THE AMINA CLI, ALL PLATFORM CONTENT, AND ALL GENERATED DATA, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMINOANALYTICA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, AMINOANALYTICA DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY GENERATED DATA OR OUTPUT WILL BE ACCURATE, COMPLETE, SAFE, OR SUITABLE FOR ANY PURPOSE; (C) THE SERVICES WILL MEET YOUR REQUIREMENTS; (D) THE AMINA CLI WILL FUNCTION WITHOUT ERROR WHEN USED WITH THIRD-PARTY AI AGENTS; OR (E) ANY DATA STORED ON THE PLATFORM WILL BE PRESERVED OR RECOVERABLE.

9. Limitation of Liability

9.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMINOANALYTICA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM RELIANCE ON GENERATED DATA OR OUTPUTS—REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF AMINOANALYTICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Cap on Liability. AMINOANALYTICA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO AMINOANALYTICA IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9.3 Specific Exclusions. Without limiting the generality of the foregoing, AminoAnalytica shall have no liability whatsoever for: any actions, errors, or consequences arising from the use of the Amina CLI with Third-Party AI Agents; data loss, file deletion, or corruption caused by automated tools, scripts, or AI agents; security breaches, unauthorized access, or vulnerabilities introduced by Third-Party AI Agents or User-configured integrations; any reliance on Generated Data for experimental, clinical, regulatory, or commercial purposes; compute charges incurred due to misconfigured workflows, runaway processes, or AI agent behavior; or any harm arising from the design, synthesis, testing, or deployment of proteins, molecules, or other outputs derived from the Services.

9.4 Basis of the Bargain. You acknowledge that AminoAnalytica passes through compute costs without markup and that the limitations of liability set forth in this Section reflect a fair and reasonable allocation of risk between the parties and form an essential basis of the bargain between you and AminoAnalytica.

10. Indemnification

You agree to indemnify, defend, and hold harmless AminoAnalytica and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) any User Data you submit to the platform; (d) any actions taken by Third-Party AI Agents under your account; (e) any use, misuse, or reliance on Generated Data; (f) any violation of applicable law, regulation, or third-party rights in connection with your use of the Services; or (g) the design, synthesis, testing, distribution, or deployment of any protein, molecule, or product derived from your use of the Services.

11. Termination

11.1 Termination by AminoAnalytica. We may suspend or terminate your access immediately and without notice if you violate these Terms, misuse the platform, engage in unlawful activity, or if required by law.

11.2 Termination by You. You may stop using the Services at any time. Subscriptions are billed for the full term and are non-refundable except where required by law. Your access will remain active until the end of the paid term.

11.3 Effect of Termination. Upon termination, your license to use the Services and Platform Content immediately ceases. AminoAnalytica may delete your User Data and Generated Data after termination. You are responsible for exporting any data you wish to retain prior to termination. Sections 3.2, 3.4, 3.5, 5.2, 8, 9, 10, and 12 shall survive termination.

12. Dispute Resolution

12.1 Binding Arbitration. Any disputes arising out of or related to these Terms or the Services will be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association.

12.2 Class Action Waiver. YOU AND AMINOANALYTICA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

12.3 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through the platform. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to any updated Terms, you must stop using the Services.

14. Miscellaneous

14.1 Entire Agreement. These Terms, together with any applicable order forms or subscription agreements, constitute the entire agreement between you and AminoAnalytica regarding the Services and supersede all prior agreements or understandings.

14.2 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

14.3 No Waiver. AminoAnalytica’s failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment. You may not assign or transfer your rights under these Terms without AminoAnalytica’s prior written consent. AminoAnalytica may assign these Terms without restriction.

14.5 Force Majeure. AminoAnalytica shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, infrastructure failures, or third-party service outages.
